CIELO & CRAFT LTD (hereinafter referred to as "we") is a legally registered and operating bag brand company in the UK, specializing in the design, sales, and related services of handbags, crossbody bags, laptop bags, travel bags, and other products. These Terms of Service (hereinafter referred to as "these Terms") are formulated in accordance with the EU Consumer Rights Directive, the General Data Protection Regulation (GDPR), the UK Sale of Goods Act, and relevant laws and regulations on cross-border e-commerce. They clearly define the rights, obligations, and responsibilities between us and our customers (hereinafter referred to as "you"), protecting the legitimate rights and interests of both parties.
These Terms shall take effect from the date you submit an order and complete payment confirmation through our official website (cielocraftltd.com), email, or other formal channels, or from the date you reach a service agreement with us. They apply to all product purchases and related service matters. By continuing to place orders or accept services, you acknowledge that you have fully understood and agreed to abide by all the contents of these Terms, and also acknowledge our published Privacy Policy, Return and Exchange Policy, and Shipping Policy, which have the same legal effect as these Terms.
I. Service Content and Scope
- Product Sales Service: We provide high-quality bag sales, covering categories such as handbags, crossbody bags, laptop bags, and travel bags. We ensure that product quality, specifications, materials, and appearance are consistent with the official website descriptions, comply with EU and UK bag safety and quality standards, and undergo strict quality control before delivery.
- Order Fulfillment Service: We cover the entire process of order receiving, review, sorting, packaging, outbound shipment, and logistics tracking. We strictly adhere to the "Transportation Policy," ensuring shipment within 5-7 business days and international shipping within 15-30 calendar days. We provide you with updates on logistics progress and tracking channels.
- After-Sales Service: In accordance with the "Return and Exchange Policy," we offer a 14-day cooling-off period for no-reason returns and exchanges, handling of quality issues, assistance with logistics anomalies, and response to inquiries. We provide feedback on after-sales application review results within 2 business days, protecting your legal consumer rights.
- Service Limitations: We are only responsible for the quality of the products and services we provide and are not liable for any indirect losses you may incur due to your use of the products (such as impact on your outfit, social media reviews, or indirect property damage). Direct shipping services are temporarily unavailable due to international logistics restrictions, sanctions, or remote areas. Please consult us in advance to confirm the specific scope.
II. Rights and Obligations of Both Parties
(I) Our Rights and Obligations
- Rights: We have the right to request you to provide true, accurate, and complete information (name, shipping address, contact information, etc.) necessary for order fulfillment; we have the right to suspend or terminate services if you fail to make payments as agreed, provide incomplete/false information, or violate these terms; we have the right to reasonably revise the service content, timeliness, and related policies based on business adjustments and updates to laws and regulations, and the revised content will be publicly announced on our official website to take effect.
- Obligations: We are obligated to provide qualified products and services strictly in accordance with these terms and the order agreement, ensuring that products match the description and that the performance process is compliant; to comply with the requirements of the Privacy Policy, taking measures such as encrypted storage and access control to protect your personal data and privacy, and not to disclose or misuse it without authorization; to respond promptly to your inquiries, complaints, and service requests, providing feedback on processing progress or results within 3 business days; and to provide order and logistics tracking services to ensure you can monitor your order status in real time.
(II) Your Rights and Obligations
- Rights: You have the right to require us to provide qualified products and services as agreed, and to raise objections to non-compliant products or violations of performance; you have the right to check order progress and logistics status, and, subject to policy compliance, enjoy 14-day no-reason return and exchange and after-sales guarantee for quality issues; you have the right to file complaints about problems encountered during the service process and request proper handling.
- Obligations: Pay the product cost, shipping fee, and customs duties, VAT, and other related fees legally levied by the destination customs in a timely and full manner as agreed in the order; ensure the accuracy of the order and delivery information provided. You will be solely responsible for any misdelivery, loss, or return of packages due to incorrect information; check the product condition upon receipt of the package, and take photos as evidence of any damage or discrepancies, and promptly notify us. Failure to provide feedback within the specified time will be considered as acceptance of the product's condition; abide by these terms and related policies, and do not use our services to engage in illegal, infringing, or third-party-related activities.
III. Order Fulfillment and Payment
- Order Confirmation: After you submit your order, we will review the inventory, product specifications, and payment information within 2 business days. The order will officially take effect after the review is approved. If the information is incomplete or the inventory is insufficient, we will communicate with you promptly to make adjustments. The order will not take effect until an agreement is reached.
- Payment Requirements: All orders must be fully paid within 48 hours of submission. Orders without payment within this period will be automatically cancelled, and you will bear the resulting order processing costs (unless otherwise stipulated by laws and regulations).
- Order Changes: After the order takes effect, if you need to modify information such as size, quantity, or shipping address, you must notify us in writing via the contact email address before shipment. We will do our best to accommodate the adjustments, but any additional costs incurred will be borne by you. Core order information cannot be changed after shipment; related adjustments will be handled according to the return and exchange process.
IV. Intellectual Property and Limitation of Liability
(I) Intellectual Property
We own full intellectual property rights to our brand logo, product design, website content, promotional materials, and service processes. Without authorization, you may not use, copy, disseminate, alter, or use them for commercial purposes. You guarantee that you will not use our products for infringing advertising or illegal activities. If any intellectual property disputes arise due to the use of our products, you will be solely responsible.
(II) Limitation of Liability
- We will not be liable for breach of contract if we are unable to perform or delay in performing our service obligations due to force majeure (earthquake, flood, war, government actions, international logistics disruptions, network failures, etc.), but we will promptly notify you and take reasonable measures to mitigate losses.
- We are not directly liable for service disruptions caused by third-party reasons (delays, damage, or loss by logistics providers, payment institution malfunctions, etc.), but we will actively assist you in communicating with the third party to protect your rights.
- In accordance with EU and UK regulations, we are not liable for indirect losses, lost profits, or emotional distress incurred as a result of your use of the products or services. Compensation is limited to the actual amount paid for the order and direct losses (unless otherwise expressly stipulated by laws and regulations).
- If product quality is substandard or contractual breach is caused by our intentional act or gross negligence, we will bear liability for compensation in accordance with laws, regulations, and the provisions of these Terms, providing you with solutions such as reshipment, refunds, or exchanges.
V. Amendment, Termination, and Dispute Resolution of Terms
- Amendment and Effectiveness: Amendments and supplements to these Terms must be publicly announced in a prominent position on our official website. The amended terms are binding on orders and services placed after the public announcement; orders placed before the public announcement will still be governed by the original terms.
- Termination Circumstances: This Agreement may be terminated by mutual agreement of both parties; if you violate this Agreement and fail to rectify the violation after being reminded, we have the right to terminate the service and this Agreement; if this Agreement becomes impossible to perform due to changes in laws and regulations, it will automatically terminate. After termination, both parties shall perform their remaining obligations as stipulated in the effective orders, and existing rights and obligations shall not be affected.
- Dispute Resolution: Any dispute arising from the performance of this Agreement shall be resolved amicably through negotiation; if negotiation fails, you have the right to bring suit in a court with jurisdiction in London, UK, or to file a complaint with the EU data protection regulatory agency or consumer protection agency (applicable to customers within the EU). During the dispute resolution period, both parties shall continue to perform the other provisions of this Agreement, except for the disputed matter.
VI. Other
- Matters not covered in this Agreement shall be handled in accordance with the EU Consumer Rights Directive, the UK Sale of Goods Act, and the Privacy Policy, Transport Policy, and Returns Policy; if this Agreement is inconsistent with the relevant policies, this Agreement shall prevail.
- Order confirmation documents and email communication records between us and you are valid supplements to these Terms and Conditions and have the same legal effect.
